These Terms and Conditions apply to all Bright Tsar Studios (“the Company”, “BTS”) done‑for‑you (“DFY”) content services. By accepting a quote or invoice, making a payment, or approving a project, the client (“the Client”) agrees to the terms set out below.

Services and scope

BTS provides professional video production and editing services, including planning, filming, and content creation, as agreed in writing.
Specific services, deliverables, dates, and fees for each project will be set out in an accepted quote or invoice issued by the Company.

Any additional services, overtime, extra revisions, new deliverables, or add‑ons outside the original scope will incur additional fees. These will be discussed with the Client and confirmed via updated quote or written approval before any out‑of‑scope work is carried out.

Conduct

The Client must treat all BTS staff, contractors, and participants respectfully and professionally.

The Company reserves the right to stop a session or refuse future bookings in cases of serious misconduct.

Payment and refunds

  • Booking Deposit: A non-refundable deposit of 50% of the total project fee is required to secure your filming date(s) and commence pre-production.

  • Filming Balance: The remaining 50% balance is due on or before the first day of filming. To allow for accounting processing times, the Client has a maximum grace period of 7 days from the filming date to clear this balance.

  • Deliverables Gate: BTS will not release final high-resolution assets (e.g., 4K master files or final exports) until the full project balance, including any agreed-upon out-of-scope additions, has been paid in full. Low-resolution drafts will be provided for review in the interim.

  • Payment Plans: Any alternative payment plans must be arranged in writing before work starts.

Usage and Licensing Organic Use

Upon full payment, the Client is granted a perpetual, non-exclusive license to use the final delivered content on their own website and organic social media channels.

Paid Advertising: Usage rights for paid advertisements (e.g., Meta Ads, TikTok Spark Ads) are limited to the duration specified in the accepted quote (e.g., 12 months). Use of content for paid advertising beyond the specified period requires a written extension and may incur additional mascot/talent fees.

Talent and Mascots

Performance: BTS utilizes a variety of internal and external talent (“Mascots”), including humans and animals. While BTS directs all talent to the best of its ability, the Company is not liable for the specific temperament or “acting” performance of animal talent.

Substitutions: In the event of a scheduled Mascot being unable to perform due to illness, emergency, or “no-show,” BTS reserves the right to substitute with comparable talent to ensure project timelines are maintained.

Creative Control: For content filmed at a creator’s own location (UGC), BTS provides the brief and direction, but the creator retains reasonable creative control over their environment and technical execution.

Client-Provided Property Shipping: The Client is responsible for the cost and safety of shipping any products to the BTS studio. BTS is not liable for items lost or damaged in transit.

Retention: Unless otherwise agreed in writing, products used during filming (especially those involving animals or outdoor use) may incur wear and tear and will not be returned to the Client as a standard practice.

Rescheduling and Cancellations

  • Notice Period: We require a minimum of 48 hours’ written notice to reschedule a confirmed filming date without penalty.
  • Late Rescheduling: If the Client requests to reschedule within 48 hours of the shoot, a late rescheduling fee (e.g., $500) plus any non-refundable out-of-pocket expenses incurred by BTS (such as studio hire, gear rentals, or freelancer cancellation fees) will apply. This must be paid before the new date is secured.
  • Cancellations: If the Client cancels the project entirely after work has commenced, the 50% booking deposit remains non-refundable. This covers the pre-production planning, creative development, and administrative work already completed. Any further work completed beyond the deposit value will be invoiced accordingly.
  • Company Rescheduling: In the unlikely event that BTS needs to reschedule due to illness, emergency, or poor weather (for outdoor shoots), we will provide as much notice as possible and secure a new date at no additional cost to the Client.

The workflow may be updated from time to time to reflect improvements, and BTS will notify the Client of any significant changes that affect their project.

Revisions and fees

Each DFY content package includes one (1) round of revision per video edit.
Additional revisions or late‑stage changes incur a fee per edit at the Company’s current published rates (for example, $55 including GST per edit, or such amounts as updated from time to time).

Once the final batch of content has been delivered and approved, any further edits or changes will be treated as a new engagement or quoted separately.

Storage and retention

Content is retained by BTS for 3 months during active engagement, then 30 days after offboarding unless otherwise arranged. Longer retention or bulk download requests may incur costs.

Intellectual property

Upon full payment of all amounts due for a project, the Client will own the final delivered content files (for example, exported videos and agreed final assets).
BTS retains ownership of its methods, production processes, templates, presets, project files, and raw footage unless otherwise agreed in writing.

The Company may request permission to use excerpts of the Client’s content and related materials for its portfolio, showreels, social media, or marketing. Such use will only occur with the Client’s consent, which may be given in the main agreement, by email, or in writing.

Confidentiality and communication

Both parties agree to keep confidential any sensitive information, intellectual property, and business details disclosed during the engagement, except where disclosure is required by law.

All formal approvals and key communications (including feedback and sign‑offs) must be provided in writing, such as by email, messaging apps, or approved review platforms.

Liability

To the maximum extent permitted by law, the Company is not liable for any indirect, consequential, or special loss or damage (including loss of profits, business, or data) arising out of or in connection with the services.

The Company’s total aggregate liability arising under or in connection with a project is limited to the total fees paid by the Client for that project.

Force majeure

Neither party is liable for delay or failure to perform their obligations (other than payment obligations) where the delay or failure is caused by events beyond their reasonable control, including but not limited to natural disasters, government restrictions, major technical outages, or other force majeure events.

In such cases, timeframes and schedules will be adjusted in good faith where reasonably required.

Term and termination

These DFY Terms and Conditions govern all done‑for‑you content services provided by the Company to the Client unless replaced by a later written agreement.

Either party may terminate an ongoing arrangement by giving 30 days’ written notice. Any work completed, booked sessions, or costs incurred up to the effective date of termination remain payable by the Client.

Governing law and dispute resolution

These Terms and Conditions are governed by the laws of Western Australia.

If a dispute arises, the parties agree to first attempt to resolve it in good faith through negotiation, and if unresolved, through mediation or arbitration. The prevailing party in any formal dispute resolution process may be entitled to recover reasonable legal costs.

Entire agreement

This Agreement remains in effect from the date of signing and will continue to govern all DFY content services
provided by BTS for the Client, unless terminated in accordance with the ‘Term and Termination’ section.

Future projects, deliverables, and fees will be agreed via written quotes/invoices but will remain subject to this Agreement unless otherwise
negotiated in writing.
